## Detailed walkthrough ### [00:00](https://www.bilibili.com/video/BV1vqn46sEkK?t=0s)

- “All three showed the need to raise hundreds of billions of dollars over several years.”

[03:22](https://www.bilibili.com/video/BV1vqn46sEkK?t=202s)

- “This helps preserve Mark Zuckerberg's control, and it'll be set up as an initial two-for-one stock split.”

[04:35](https://www.bilibili.com/video/BV1vqn46sEkK?t=275s)

- “All in, you might be looking at around $4 trillion net new debt this next year, and then you start creating this debt spiral, because with more debt, then, more supply, folks are going to say, I need to get paid more.”

- “You can look at their third quarter advertising revenue growing a blistering 26%.”

[10:00](https://www.bilibili.com/video/BV1vqn46sEkK?t=600s) Core Earnings Valuation and Mark Zuckerberg's All-In AI Bet

The central dilemma facing Meta investors is whether the anticipated financial returns can ever justify the staggering scale of capital spending and over $800 billion in binding long-term commitments. The ultimate outcome remains an unknown that no market participant can forecast with complete certainty, yet the company's executive leadership has made its stance unmistakably clear. The host emphasizes that Mark Zuckerberg is effectively putting the entire enterprise on the line to win the artificial intelligence race, openly signaling to Wall Street that Meta may have to issue substantial amounts of equity to finance this infrastructure cycle.

Despite the sheer magnitude of this capital offensive, the host argues that Meta's current stock price does not look overly expensive when evaluated against its underlying profitability. Stripping out or adding back the operating losses incurred by Reality Labs, Meta’s core normalized after-tax earnings hover around $90 billion. Measuring the enterprise value against these adjusted figures reveals that Meta trades at approximately 18 to 19 times core earnings. For a dominant tech titan accelerating top-line growth at roughly 26% year-over-year while asserting command over global digital engagement, an earnings multiple in the high teens remains remarkably modest on paper.

- **Underlying Earnings Power**: Normalized core earnings (excluding Reality Labs' drag) stand at approximately $90 billion after tax. - **Valuation Multiple**: Meta trades at an enterprise value of roughly 18 to 19 times core earnings while compounding at approximately 26%. - **Capital Commitment Scale**: The company is tethered to over $800 billion in future obligations and capital spending plans. - **Zuckerberg's Stance**: As the host highlights, “There's an unknown aspect to this, but clearly Mark Zuckerberg's willing to bet the company on it.”

[11:15](https://www.bilibili.com/video/BV1vqn46sEkK?t=675s) Advertising Cyclicality, Macro Fragility, and the "Double Whammy" Threat

The host clarifies that his reservations do not stem from skepticism about AI technology itself. Gesturing to the framed book by futurist Ray Kurzweil displayed over his shoulder, the host reiterates his longstanding conviction that the global tech race toward artificial superintelligence is real, citing Meta’s hardware advances like AI smart glasses and automated consumer agents as having immense commercial potential. The critical vulnerability lies in corporate structure: underneath its futuristic AI ambitions, Meta remains an advertising company whose revenue and operating cash flows are acutely sensitive to the broader economic cycle.

Many market participants have developed a distorted sense of macroeconomic risk due to the rapid, V-shaped rebound following the initial 2020 pandemic crash. That period was artificially backstopped by unprecedented federal stimulus that cannot simply be repeated in a future downturn, especially given the federal government's bloated debt deficits and the looming threat of a sovereign bond crisis. If an economic contraction forces enterprises to slash advertising budgets, Meta will still be on the hook for hundreds of billions of dollars in non-cancellable leases and computing infrastructure contracts. This misalignment creates the hazard of a corporate double whammy: ad monetization collapses at the exact moment Meta's mandatory AI funding calls come due, threatening sharp equity dilution and severely depressed valuation multiples.

```mermaid flowchart TD accTitle: Meta Double Whammy Risk Mechanism accDescr: Flowchart illustrating how economic slowdown and fixed AI obligations combine to pressure Meta's cash flow and valuation.
subgraph MacroShock ["Macroeconomic Shock"] Recession["Economic Downturn & High Deficits"] --> AdCut["Corporate Ad Budgets Slashed"] end
subgraph FixedObligations ["Inflexible Commitments"] CapEx["$800B+ AI & Data Center Contracts"] --> Unhedged["Non-Cancellable Cash Outflows"] end
subgraph DoubleWhammy ["Shareholder Impact"] AdCut --> Squeeze["Free Cash Flow Severe Squeeze"] Unhedged --> Squeeze Squeeze --> Dilution["Forced Stock Issuance & Depressed Valuation"] end ```
- **Advertising Cyclicality**: Despite investing heavily in foundational models and smart glasses, Meta relies overwhelmingly on digital ad demand, which contracts swiftly during recessions. - **Macro Bottlenecks**: Unlike 2020, existing high federal deficits and sovereign bond supply pressures limit the government's ability to bail out or stimulate the economy during a recession. - **The Double Whammy**: As the host warns, “What happens if advertising weakens just as Meta needs to fund AI investments? That could create enormous pain for Meta shareholders and create what I'd argue is a very depressed valuation.” - **Community Access**: The host invites viewers to debate the stock's risk-reward profile in the comments and notes that the Unrivaled Investing exclusive Discord community will see a price increase next month.
## Video description 【UNRIVALED INVESTING】 暴跌7%蒸发千亿,META还会跌吗? Meta Stock: Going Lower?
大家好,近期Meta股价单日重挫7%,市值瞬间蒸发超过1000亿美元,引发市场高度震慌。这场资本海啸的导火索,是Meta首次公开披露了未来数年将从公开市场筹集数千亿美元资金的宏大计划。今天带大家深入拆解Meta激进押注AI背后的财务账本与潜在风险。
巨额资本开支与8100亿美元的隐藏承诺 在这份震撼市场的财务披露中,Meta坦言无论评估哪种长期资本场景,公司都需要在未来数年间大规模融资,最快可能在2026年秋季就启动市场筹资。截至目前,Meta已背负了高达455亿美元的不可取消合同,以及356亿美元尚未开始执行的租赁协议,总计高达8100亿美元的巨额表外承诺。这些资金绝大部分流向了AI计算基础设施、GPU采购、数据中心建设,以及核心广告推荐算法的迭代和新型AI助手Muse的研发。尽管Meta作为印钞机,预计未来一年能够产生140亿至175亿美元的强劲经营现金流,但在第三季度,其自由现金流已经由于天量开支而陷入负值。
多元融资工具与扎克伯格的股权控制权 面对庞大的资金黑洞,Meta管理层正紧锣密鼓地筹划多维度的融资路径。首先是通过创设全新的C类无投票权股票,进行二换一的股票拆分,这不仅不会稀释普通股东的短期经济权益,更核心的目的是在未来发行数千亿新股融资时,完美锁死马克·扎克伯格对公司的绝对投票控制权。其次,Meta资产负债表上已拥有约810亿美元长期债务,若进一步向市场举债1000亿至2000亿美元,虽然能支撑2027年约200亿美元的资本开支与55亿美元的净资金缺口,但也势必极大地拉高公司的债务风险敞口,使资产负债表变得脆弱。
宏观债务漩涡与全球流动性警报 Meta的激进扩张并非孤立事件。与此同时,据估计SpaceX因布局10至20吉瓦的数据中心,也面临750亿至1500亿美元的融资缺口;而美国联邦政府在2027年预计将新增高达2万亿美元的净债务。正如桥水基金创始人雷·达里奥所警告的那样,当美国政府与科技巨头及地方政府在未来一年共同卷入高达4万亿美元的净新债务发行时,极易引发债券市场的熊市甚至债务死亡螺旋。更高的债务供应将推高无风险利率,反过来又会让Meta和SpaceX的基建成本雪上加霜。
核心广告的高歌猛进与AI变现真实进展 尽管宏观与财务风险令人心惊,但从微观基本面来看,Meta的商业帝国依然无比强劲。受益于AI驱动的推荐算法,Instagram的用户使用时长创下历史新高,Facebook Reels和Threads的互动率均录得双位数增长。在货币化层面,Meta三季度广告收入惊人地同比增长26%,其中广告展示量增长10%,广告均价提升14%,显示出其在行业内的绝对主导地位。此外,新推出的AI代理工具Muse在几周内吸引了超过1000万用户设置,日活留存率达25%,其中超过四分之一的用户直接通过其参与电商购物。扣除Reality Labs拖累后,Meta的核心税后正常化净利润大约在90亿美元左右,对应当前1.6万亿至1.7万亿美元的企业价值,市盈率仅为18至19倍左右。
理性权衡与实操风控指引 综上所述,虽然Meta在AI浪潮中的战略执行力和核心广告护城河极其深厚,且当前18-19倍的核心市盈率从估值角度并不算昂贵,但其绑定数千亿美元、没有担保回报的表外承诺,让公司在面对潜在经济下行时显得格外脆弱。一旦宏观广告预算收紧而AI投入无法按时变现,双杀效应将不堪设想。为此,在当前宏观复杂的周期节点下,建议投资者把握以下三点操作指引: 严控单一个股仓位上限:在科技巨头纷纷开启巨额杠杆与资本开支军备竞赛的背景下,切忌盲目重仓或全仓押注单一AI龙头,防范尾部流动性风险。 动态审视基本面与现金流:密切追踪Meta核心广告收入增速以及自由现金流回正的拐点,切勿仅凭AI概念盲目乐观。 保持充足现金与防御防线:在宏观债务周期波动加剧、债券市场潜在震荡期,保留高流动性资产,等待更安全的布局时机。
节目指出,Meta 虽凭借 AI 赋能使核心广告业务强劲增长,但为争夺人工智能主导权背负了约 8100 亿美元的巨额表外承诺;在全市场债务供给洪峰与宏观周期波动的夹击下,公司面临现金流承压与股东权益被稀释的严峻风险。 8100亿美元表外承诺与现金流失血 (0:00) Meta 单日股价重挫 7%,市值蒸发超千亿美元,其核心诱因是管理层披露了惊人的长期资本开支规划。公司目前背负着约 4550 亿美元不可取消合同以及约 3560 亿美元尚未执行的租赁协议,合计表外承诺高达 8100 亿美元。这些巨额支出主要投向 GPU、服务器、数据中心建设等 AI 基础设施,以及算法升级和硬件研发。 尽管 Meta 预计未来一年仍能产生 1400 亿至 1750 亿美元的强劲经营现金流,但在高昂资本开支的侵蚀下,其第三季度自由现金流已转为负值。管理层 5 月份提交给董事会的多套长期财务方案均显示,为支撑 AI 扩张,公司最快可能在 2026 年秋季开启面向公开市场的数千亿美元融资周期。 控制权锁定与股债组合融资推演 (3:22) 为填补巨大的资金缺口并规避表内恶化,Meta 提议设立全新的 C 类无投票权股票,并计划以 1 拆 2 形式派发。该举措旨在为未来发行数百亿美元新股融资铺平道路,同时确保马克·扎克伯格(Mark Zuckerberg)对公司的绝对投票控制权不受稀释。 债务融资方面,Meta 现有长期债务已达约 810 亿美元,若再额外举债 1000 亿至 2000 亿美元,将显著加剧资产负债表的脆弱性。根据推演,到 2027 年,即便经营现金流达 1500 亿美元,面对飙升至 2000 亿美元的资本支出,公司仍将面临约 550 亿美元的资金缺口,预计需通过约 350 亿美元股权和 200 亿美元债券的组合方式进行弥补。 全市场债务供给洪峰推高融资成本 (4:35) Meta 的融资需求恰逢宏观流动性极度紧张的窗口期。全市场正展开激烈的资本争夺:SpaceX 未来一年规划建设 10 至 20 吉瓦数据中心,预计融资需求达 750 亿至 1500 亿美元;而美国联邦政府预计在 2027 年发行约 2 万亿至 2.1 万亿美元净新增国债。 算上企业债与地方政府发债,未来一年市场新增净债务总额可能逼近 4 万亿美元。节目警告,天量债券供给将迫使投资者索取更高的风险溢价,推高无风险利率并引发“债务死亡螺旋”,进而大幅推升 Meta 及其他科技巨头建设 AI 基础设施的融资成本。 核心广告基本面爆发与估值分歧 (7:34) 与财务扩张风险形成鲜明对比的是 Meta 微观运营展现的强劲韧性。在 AI 算法驱动下,Instagram 与 Facebook Reels 播放量录得双位数增长,Threads 用户时长增加超 20%。第三季度广告收入同比大增 26%,展示量增幅超 10%,广告单价上涨约 14%。此外,AI 代理产品 Muse 在几周内吸引超 1000 万用户设置,展现出向电商与订阅平台延伸的潜力。 从估值角度看,若剔除 Reality Labs 的亏损,Meta 核心税后正常化利润约为 900 亿美元,对应企业价值倍数仅为 18 至 19 倍。在 26% 的营收增速支撑下,这一估值倍数本身并不昂贵,但市场的分歧关键在于扎克伯格“押上整家公司”的巨额 AI 投资能否最终兑现预期的财务回报。 广告强周期与刚性开支的双重打击 (11:15) 节目的核心担忧在于 Meta 商业模式的内在错配:尽管公司发力 AI 基础模型与智能眼镜等前沿硬件,但其本质上依然是一家高度依赖广告收入的企业,对宏观经济周期极度敏感。2020 年疫情后的 V 型反转得益于无法轻易复制的激进财政刺激,如今居高不下的政府赤字严重限制了未来的救市空间。 一旦经济下行迫使各行各业削减广告投放,Meta 的现金流入将骤降;与此同时,其背负的数百亿美元不可取消数据中心租赁和采购协议等刚性支出却无法减免。这种“双重打击”(Double Whammy)可能迫使公司在估值低迷期被动增发股票融资,从而给股东带来严重的权益稀释和估值重挫风险。 扎克伯格正在押注整家公司的前途以争夺 AI 霸权,尽管核心业务估值处于合理区间且变现能力强劲,但宏观经济减速与不可撤销的 8100 亿美元固定支出叠加,构成了可能重创 Meta 现金流与估值的重大未解风险。
Original transcript
[0:00] Metastock plunged 7% today, losing over $100 billion in market cap on the financial bombshell that they would need to raise hundreds of billions of dollars over the next several years. This was a disclosure that they just put out saying they might have to go into the market raising this money, potentially beginning as early as fall 2026. That's right now. This money shock has happened and played out over several months. evaluate changes to Meta's capital structure to figure out, okay, how are we going to potentially deal with this AI revolution? How are we going to finance it? Then in May, they presented three long-term financial scenarios to the board. All three showed the need to raise hundreds of billions of dollars over several years. That is quite concerning. Each scenario suggesting, yeah, we're going to be in the market and they're working with an investment banker Comitity learns that the financing could begin, once again, as early as fall 2026. So right now, management reiterates its impending need for raising capital. And then just yesterday, Meta publicly disclosing for the first time that they're looking at these different scenarios. And no matter which scenario they're looking at, they're going to have to go to the market to potentially raise hundreds of billions of dollars. That's quite a shocker for investors causing the stock to go lower. As they just disclosed, they have $455 billion in non-cancellable contracts, $356 billion in leases that are not yet commenced. So a total of around $810 billion in commitments that are off their balance sheet. These are incredible figures. So what's this $810 billion? A lot of it's, you know, this is going to the AI revolution. You have AI computing, the GPUs, the servers, the data centers, the construction. advertising business, trying to make the recommendation engine better, and then looking at potential new products, talking about Muse. I'll be talking about that in a little bit. And then there are other commitments, Reality Labs hardware and supporting infrastructure. But a key part of this huge jump is tied to number one, number two, this AI computing and data centers. So this is the revolution. And so then the question is, well, how will Meta possibly finance this? So part one, I would argue, is their operating cash flow, where they're already expecting to generate around $140 to $175 billion. I think that's roughly what Wall Street's expecting over the next year in terms of operating cash flows from this business. So this is a cash cow, but still it's important to recognize in their third quarter, their free cash flow actually went negative. So despite generating lots and lots of operating cash flow, they're spending even more on this AI revolution. So then part two might be this new class of stock where management C stock. These are non-voting shares. This helps preserve Mark Zuckerberg's control, and it'll be set up as an initial two-for-one stock split. So there's no immediate economic dilution because all the shareholders will get it, but I think this is going to be their vehicle for issuing future shares. So then thinking about part three, how are they going to finance it? So clearly issuing this Yeah. Meta already has around $81 billion of long-term debt on their balance sheet. They could realistically raise possibly another $100 to $200 billion, but this would make their business and their business. balance sheet significantly more risky, much higher risk of future debt troubles if they do this route. So thinking about what 2027 could potentially look like if they generate, let's say, $150 billion in operating cash flows, you're talking around $200 billion maybe in capital expenditures. Maybe they keep that dividend. Maybe they cut the dividend. And so looking at maybe Yeah. 2027 might look like because management's telling you very clearly we're going to need to be in the market for hundreds of billions of dollars so if if you say hey 2027 is just to the tune of 55 billion dollars you know maybe 35 billion dollars is coming from equity maybe another 20 billion dollars from debt either way a lot of money that meta is looking to raise and they're not alone some estimates from wall street suggest that spacex might need to be in the market for 75 to talking about building 10 to 20 gigawatts of data center in the next year alone. So there's this mad scramble for capital. And hey, once again, not alone. You have Meta, you have SpaceX, Uncle Sam saying, [5:00] Hey, don't forget me. You know, the U.S. government is expected to issue roughly $2 trillion in additional net debt in 2027. So that's in addition to their existing refinancing needs. So you have so much money coming to the table. So many folks saying, hey, we're going to need some funds to finance either this AI revolution or ongoing profit-to-get spending in the U.S. bond, bear market, and debt crisis as soon as 2027 and 2028. This directly ties to what's going on at Meta, because if you have the U.S. government issuing $2.1 trillion and then corporations saying, hey, we're going to need to issue $1.4 trillion, let's say ballpark, then households are borrowing, state and local governments are borrowing. All in, you might be looking at around $4 trillion net new debt this next year, and then you start creating this debt spiral, because with more debt, then, more supply, folks are going to say, I need to get paid more. And then ultimately that means higher interest rates. And with higher interest rates, then the government interest cost goes up and then they have to borrow even more. So that becomes this debt, death spiral. And this all feeds one another because then the costs for, let's say Meta's build out becomes even more expensive. Same for SpaceX. So this is a very interesting part of the economic cycle that we're for Meta. First of all, please recognize none of this is financial advice. I'm just sharing some of my thoughts as we look at this very interesting setup. Also, if you're looking for help on your investing journey, consider joining me at Unrivaled Investing. By the way, I recently launched a completely free course that shares my framework and a My framework and a real case study on finding stocks that could potentially 4X in the next – For years, that's a framework. Obviously, not all stocks will be able to do that. But most recently, I was calling out to my members at Unrivaled Investing that I was buying a stock that I think has that type of potential. So we'll see how it plays out. Let's keep going in terms of understanding what's going on with Meta and their AI investments so far. It's still growing at a great clip. Facebook reels. Viewing grew double digits. Threads. The time spent per user increased more than 20%. So AI-driven algorithm, the AI. in driving engagement, this is clearly working there. The business has never been stronger from this core perspective and it's helping people, Meta. more easily monetize their various different You can look at their third quarter advertising revenue growing a blistering 26%. This is an incredible figure, especially when you're thinking about they're already one of the biggest players out there. So for them to be posting 26% growth suggests they're still taking market share. They're still disrupting the market. They're still creating a lot of value for those end merchants. And you can see 10% plus ad impressions and the average price paid up around 14%. suggests that not only are they able to increase the supply of advertising and increase the engagement on advertising, you know, in terms of users, that the ads are increasingly valuable for both the users and the merchants saying, hey, we want to spend on it. And that's what's driving it. And this is all fueled by a very relevant AI algorithm. And there are some other AI products showing very early traction, such as Muse. in a couple of weeks. Of those users, about 25% are actively daily engaging with this AI agent, and more than a quarter of active users reportedly engage in shopping activities. And so Meta is looking at this thinking, this could be the next platform. Maybe we are able to disrupt how people are using the Internet, how people are using their devices, expanding the use case for users what AI can do. It's not just chat. It's an agent that can help you run your life. And so they're thinking about maybe transaction fees, maybe some subscriptions, maybe some enterprise services. And the question is, However, that yes, you're seeing all these dynamics and you're seeing them move to this cash burn scenario. [10:00] Does the return, justified the extraordinary capital spending and $800 billion in future commitments and the challenges no one can know directly. for sure. There's an unknown aspect to this, but clearly Mark Zuckerberg's willing to bet the company on it. He's making this huge bet saying, yeah, we might have to issue a lot of stock. When I look at the current share price, I'd argue it's not that expensive. You're looking at a business where their normalized earnings, excluding or adding back Reality Labs, probably around $90 billion after tax. This is for a business growing around 26%, and enterprise value That's around 18, 19 times core earnings, not expensive for this type of growth where they are dominating and rapidly growing. So still quite impressive. However, what I, what I think is that the market is going to be a big deal. bothers me is the risks that they're taking this all in bed. So let me share a few of my thoughts here. One is I'm a believer in AI. I've been talking about it on this channel for quite some time. There's a reason. Why, you know, over my shoulder, you know, I'll show this picture over my shoulder. I keep this picture of Ray Kurzweil's book. I think, you know, everyone's in this race to be able to create the super intelligence. So I'm a believer in AI. I think Meta's AI glasses and agents have tremendous potential. So I'm eager to watch how that play out. But I also am very aware that Meta is still an advertising business. Its cash flow remains vulnerable to economic downturns. economic downturns look like? People look at, you know, the amount of juice that we had since COVID and they look at the very, you know, the V-shaped, you know, decline, then recovery in stocks that happened during COVID. That was a very abnormal period. What happens if you have, you know, a potential recession and the U.S. government can't easily step up because they're already running this high deficit, you know, aspect and you start having maybe a potential bond crisis. So there are these dynamics to consider that this is still an advertising company and advertising budgets can change dramatically and massive commitments create massive risks meta is locking in hundreds of billions of dollars in obligations without guaranteed returns we talked about earlier on the slide these are commitments that they have even if there is an advertising slowdown and that creates the risk of a double whammy what happens if advertising weakens just as meta needs to fund AI investments. That could create enormous pain for meta shareholders and create what I'd argue is a very depressed valuation. We're not there yet. I'd argue the share prices is currently, you know, fair or arguably cheap for the business and the results they're posting. But you also oftentimes have to look ahead and think about these risks. And so my conclusion is I believe financial risks that they're taking on. I'd love to hear your thoughts in the comments below.
