Anthropic Commits Company Shares to New Public Benefit Fund
Anthropic is launching the Anthropic Public Benefit Fund, committing an initial 5% of its shares to an LLC designed to direct an increasing portion of company equity toward public benefit as its valuation rises.
Subject to stockholder approval, 5% of Anthropic's shares will be committed initially, with the board able to add 2% for every 50% valuation increase above a set baseline.
The fund is organized as a wholly-owned LLC to maintain flexibility across donation formats, and its equity cannot be used for political giving or lobbying.
Combined with founders' 80% equity pledges and an employee donation match program, roughly 20% of Anthropic's shares are now dedicated to the public good.
Fund Mechanics and Governance
The Anthropic Public Benefit Fund is structured to expand its stake alongside the company's valuation. Pending stockholder approval, an initial 5% of shares will be committed, with 2% increments added at the board's discretion for every 50% rise in value above a baseline. Anthropic notes that rather than granting escalating compensation awards to executives as is common in the tech industry, the equity is directed to the public good. The entity is established as a wholly-owned LLC to allow adjustability between different giving types, and none of its equity may be utilized for domestic or international lobbying and political donations.
Areas of Focus and Company Operations
While internal public benefit corporation activities like AI safety research, applied biomedical research, and Claude discounts for nonprofits will remain housed inside Anthropic, the new fund provides additional scale for external efforts. Potential initiatives include large donations to traditional nonprofits or direct distributions to specific populations. For instance, the fund may pursue bolder interventions regarding AI's labor market impacts, supplementing the $200 million Anthropic has already committed to studying and addressing economic disruptions.
Broader Commitments and Upcoming Reporting
The initiative builds on existing company programs, including Anthropic co-founders' founding pledge to donate 80% of their equity holdings and an equity donation match program in which approximately half of employees participate. Together with the new fund, approximately 20% of Anthropic shares are dedicated to the public good, with the potential for further percentage increases tied to valuation milestones. Further information regarding the fund's governance, structure, and valuation milestones will be shared in the coming months alongside a public benefit report.
Today, we’re committing a portion of Anthropic’s shares to the Anthropic Public Benefit Fund, a new entity with a structure that increases the stake as the company grows. Subject to stockholder approval, 5% of Anthropic’s shares will be committed today, with an additional 2% added at the board’s discretion for every 50% increase in the company’s value above a set baseline.
As a public benefit corporation, most of our work in pursuit of our mission takes place inside the company: research relevant to AI safety and interpretability; applied biomedical research; discounts on Claude for nonprofits and scientific institutions. These activities have both a public benefit component and for-profit value, so we house them directly in the company.
The Anthropic Public Benefit Fund will have increased flexibility and scale, enabling us to pursue our mission in new ways: for example, we might explore large donations to traditional nonprofits or direct distributions to specific populations.
One example is labor market impacts. AI may generate enormous economic value, but it could also cause instability for many workers. Anthropic has already committed [$200 million](https://www.anthropic.com/news/economic-futures-research-fund-agenda) to studying and addressing this issue, but given the pace of AI progress, bolder approaches may be needed. The Fund will have the versatility to pursue them.
We’re establishing the Anthropic Public Benefit Fund as a wholly-owned LLC—rather than a 501(c)(3) or other format—to give adjustability between different forms of giving. None of the Anthropic equity held by the LLC will be used for lobbying or political giving, in the US or abroad.
Because of the way the Fund is structured, the more Anthropic grows, the larger the share of the company that can be dedicated expressly to the public good. It is common practice for tech companies to offer escalating compensation awards to their executives. We are instead directing that equity to the public benefit.
This builds on commitments our co-founders and employees have already made. When Anthropic was founded, our co-founders pledged to donate 80% of their equity holdings, and since founding we have also operated an equity donation match program that allows employees to pledge equity which Anthropic matches. Approximately half of our employees participate in this program. When combined with today’s announcement, roughly 20% of Anthropic shares will be dedicated to the public good, plus any additional percentage that could be added if the company reaches specific valuation milestones.
In the coming months, we will share more about the Anthropic Public Benefit Fund’s structure and governance, including the valuation milestones that may add to its stake. We will also report on our progress to date against our mission in an upcoming public benefit report.
